Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Merchant", "you", or "your") and Alab & Alon Innovations Inc., a corporation duly organized and existing under the laws of the Republic of the Philippines, doing business as AlonChat ("AlonChat", "we", "us", or "our").
By accessing or using the AlonChat platform and services (the "Service"), you agree to be bound by these Terms. If you are using AlonChat on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to that organization.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
1. Definitions
For purposes of these Terms, the following definitions apply:
- "Service" means the AlonChat AI agent platform, including all software, features, tools, integrations, APIs, and related services provided by AlonChat.
- "User" or "Merchant" means any individual or entity that creates an account and uses the Service to create AI agents, including businesses that use AlonChat to facilitate payment processing for their end-customers.
- "AI Agent" means an AI-powered chatbot or virtual assistant created, trained, and deployed using the AlonChat platform.
- "Content" means any data, text, images, files, knowledge base materials, training data, system prompts, or other materials uploaded or provided to the Service by you.
- "End-Customer" or "End-User" means the ultimate customer or user who interacts with your AI Agent or makes purchases through your business.
- "Child Account" means a merchant sub-account created under AlonChat's parent payment platform for the purpose of accepting payments from End-Customers.
- "Payment Services" means payment processing, payment gateway, wallet, and related financial services facilitated through third-party payment processors integrated with the Service.
2. Account Registration and Use
2.1 Account Creation
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
2.2 Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. If you are using the Service on behalf of an organization, you must have the authority to bind that organization to these Terms.
2.3 Account Security
You are solely responsible for safeguarding your account credentials, including passwords, API keys, and OAuth tokens. AlonChat will not be liable for any loss or damage arising from your failure to protect your account credentials.
3. Payment Processing and Merchant Responsibilities
3.1 Payment Platform Structure
AlonChat operates as a parent merchant platform integrated with third-party payment processors (including but not limited to PayMongo). When you use AlonChat's payment features:
- You may be onboarded as a Child Account under AlonChat's parent merchant account
- Payments from your End-Customers are processed through the third-party payment processor
- Funds are routed directly to your designated payout account or wallet, not to AlonChat
- AlonChat facilitates the technical integration and webhook notifications but does not hold, control, or receive your customer payments
3.2 Merchant Liability for Goods and Services
YOU (THE MERCHANT) ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR:
- All goods, products, or services sold to your End-Customers through AI Agents created using the Service
- Quality, safety, legality, and delivery of products or services
- Accurate product descriptions, pricing, and availability
- Fulfillment of orders, refunds, returns, and customer service
- Compliance with all applicable consumer protection laws, including Philippine Consumer Act (RA 7394), E-Commerce Act (RA 8792), and Data Privacy Act (RA 10173)
- Tax obligations, including VAT, business taxes, and income tax reporting
- Business permits and licenses required to operate your business
- All disputes, chargebacks, and claims arising from transactions with your End-Customers
3.3 AlonChat is NOT a Seller or Marketplace
IMPORTANT: AlonChat is a software-as-a-service (SaaS) provider that provides tools to create and deploy AI agents. AlonChat does not:
- Sell, offer, own, manufacture, or distribute any products or services offered by Merchants
- Operate as a marketplace, e-commerce platform, or intermediary in transactions between Merchants and End-Customers
- Control, guarantee, or endorse the quality, safety, legality, or availability of Merchant products or services
- Hold, control, or process customer payments (payments go directly to Merchant wallets via third-party processors)
- Act as an agent, representative, or partner of any Merchant
The relationship between AlonChat and Merchants is strictly that of a software service provider and customer.AlonChat provides the technological infrastructure for AI agent creation and payment integration, but all commercial transactions occur directly between Merchants and their End-Customers.
3.4 Payment Processor Terms
When using Payment Services, you agree to comply with the terms and conditions, acceptable use policies, and privacy policies of the underlying payment processors (e.g., PayMongo Terms of Service, Bangko Sentral ng Pilipinas regulations). Violations of payment processor terms may result in suspension or termination of your account.
3.5 Know Your Customer (KYC) and Verification
To enable Payment Services, you must complete the onboarding and verification process required by the payment processor. This may include providing:
- Government-issued identification documents
- Business registration documents (DTI, SEC, CDA, Mayor's Permit, etc.)
- Bank account or e-wallet information for payouts
- Proof of address and business operations
AlonChat may facilitate the KYC process but does not control approval decisions, which are made solely by the payment processor. Failure to complete verification may result in inability to accept payments.
3.6 Prohibited Businesses and Activities
You may NOT use AlonChat's Payment Services to sell or facilitate transactions involving:
- Illegal goods, services, or activities (drugs, weapons, counterfeit goods, human trafficking, etc.)
- Adult content, pornography, or escort services
- Gambling, betting, or games of chance (unless licensed)
- Multi-level marketing (MLM), pyramid schemes, or Ponzi schemes
- Cryptocurrency exchanges, ICOs, or unregulated financial services (unless licensed)
- Tobacco, vaping products, or e-cigarettes (unless licensed)
- Pharmaceuticals or prescription drugs without proper licenses
- Any products or services that violate Philippine law or payment processor acceptable use policies
3.7 Fees and Charges
Payment processing fees are determined by the payment processor and may vary based on payment method, transaction volume, and merchant type. AlonChat may charge a platform fee as specified in your subscription plan. All fees are non-refundable unless otherwise stated.
4. Fraud Prevention, Disputes, and Chargebacks
4.1 Merchant Responsibility for Fraud
YOU ARE SOLELY RESPONSIBLE FOR:
- Preventing fraudulent transactions on your account
- Verifying the legitimacy of orders and customer identities
- Monitoring for suspicious activity or chargebacks
- Implementing fraud prevention measures (address verification, delivery confirmation, etc.)
AlonChat is not responsible for fraudulent transactions, chargebacks, or disputes arising from your business operations.
4.2 Chargeback Liability
All chargebacks, payment disputes, and refund claims are the sole responsibility of the Merchant. You agree to work directly with the payment processor and your End-Customers to resolve disputes. AlonChat may provide transaction logs and webhook data to assist in dispute resolution but is not a party to disputes.
4.3 Fraud Reporting System
AlonChat provides a merchant reporting system that allows End-Customers or third parties to report suspected fraud, scams, or violations of these Terms. If you receive a fraud report:
- You must respond within 7 business days with documentation or explanation
- AlonChat may temporarily suspend your account pending investigation
- Failure to respond may result in permanent suspension
4.4 Cooperation with Authorities
CRITICAL: AlonChat reserves the right to cooperate with law enforcement, government agencies, and regulatory bodies (including the National Bureau of Investigation, Philippine National Police, Department of Trade and Industry, Bangko Sentral ng Pilipinas, and DICT Cybercrime Division) in the investigation of suspected fraud, scams, or illegal activities.
We may disclose your information, including:
- Account details, business information, and KYC documents
- Transaction history and payment records
- Chat logs, AI agent configurations, and customer interactions
- IP addresses, device information, and access logs
- Any other information required by court order, subpoena, or legal request
By using the Service, you consent to such disclosures and waive any claims against AlonChat for cooperating with authorities.
4.5 Suspension and Termination for Fraud
AlonChat reserves the right to immediately suspend or terminate your account without prior notice if:
- You are reported for fraud, scams, or deceptive practices
- You receive excessive chargebacks (typically exceeding 1% of transactions or industry thresholds)
- You violate payment processor acceptable use policies
- You engage in prohibited businesses or activities
- Law enforcement requests suspension as part of an investigation
Suspended accounts may be permanently terminated, and you may be banned from creating new accounts. AlonChat is not liable for any losses resulting from suspension or termination.
5. Acceptable Use Policy
5.1 Permitted Uses
You may use the Service to:
- Create and deploy AI agents for legitimate business purposes
- Train AI agents using your own data and knowledge base
- Integrate AI agents with third-party platforms (Facebook Messenger, websites, etc.)
- Process payments for goods or services sold to your End-Customers
- Analyze conversation logs and performance metrics
5.2 Prohibited Uses
You may NOT use the Service to:
- Illegal Activities: Violate any local, national, or international law or regulation
- Fraud and Deception: Engage in fraudulent, deceptive, or misleading practices; impersonate any person or entity
- Spam and Abuse: Send unsolicited messages, spam, or engage in phishing or social engineering
- Security Violations: Attempt to breach security, access unauthorized data, or disrupt the Service
- Harmful Content: Create AI agents that generate hateful, violent, discriminatory, or offensive content
- Intellectual Property Violations: Infringe on copyrights, trademarks, trade secrets, or other intellectual property rights
- Reselling: Resell, sublicense, or white-label the Service without explicit written permission
- Competitive Use: Use the Service to develop competing AI agent platforms or services
5.3 AI Agent Responsibilities
You are solely responsible for:
- Monitoring and moderating AI agent responses to ensure accuracy and appropriateness
- Reviewing AI-generated content before publishing or deploying to End-Customers
- Ensuring AI agents comply with applicable laws, regulations, and industry standards
- Disclosing to End-Customers that they are interacting with an AI agent (where required by law)
AlonChat is not responsible for AI agent responses, errors, or inaccuracies. AI models are provided by third-party providers and may generate incorrect or inappropriate content.
6. Intellectual Property Rights
6.1 Your Content
You retain all ownership rights to Content you upload to the Service. By uploading Content, you grant AlonChat a worldwide, non-exclusive, royalty-free, transferable license to use, store, display, reproduce, modify, and distribute your Content solely for the purpose of providing and improving the Service.
You represent and warrant that you have all necessary rights to upload Content and grant the above license, and that your Content does not infringe on any third-party rights.
6.2 AlonChat Platform
The Service, including all software, features, designs, logos, trademarks, and original content (excluding your Content), is owned by AlonChat and protected by Philippine and international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service.
6.3 Third-Party AI Models
AI responses are generated using third-party AI models (OpenAI, Anthropic, Google, etc.). You acknowledge that AI-generated content may not be eligible for copyright protection and should be reviewed before commercial use.
7. Subscription Plans and Billing
7.1 Subscription Plans
AlonChat offers various subscription plans (Basic, Starter, Pro) with different features, usage limits, and pricing. Current plans and pricing are available at alonchat.com/pricing.
7.2 Billing and Payment
- Subscription Fees: Billed monthly or annually in advance, depending on your selected plan
- Automatic Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
- Usage-Based Charges: Additional charges may apply for API calls, AI token usage, or other consumption-based features
- Payment Methods: We accept credit cards, debit cards, GCash, Maya, and other payment methods via our payment processor
7.3 Refund Policy
We offer a 7-day money-back guarantee for new subscriptions. If you are not satisfied with the Service within the first 7 days, contact us for a full refund. After 7 days, subscription fees are non-refundable. Partial-month refunds are not provided.
Usage-based charges (API calls, AI tokens) are non-refundable.
7.4 Free Trial
We may offer a free trial period for certain plans. At the end of the trial, you will be automatically charged the subscription fee unless you cancel before the trial ends.
7.5 Late Payment and Suspension
If payment fails, we will attempt to charge your payment method multiple times. If payment is not received within 7 days, your account may be suspended or downgraded to a free plan. Access will be restored upon successful payment.
8. Account Termination
8.1 Termination by You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting support. Upon termination:
- You will retain access until the end of your current billing period
- You may export your data (chat logs, training data) before termination
- AI agents will be deactivated and integrations disconnected
- No refunds will be provided for unused subscription time
8.2 Termination by AlonChat
We reserve the right to suspend or terminate your account immediately, without prior notice, for:
- Violation of these Terms or Acceptable Use Policy
- Non-payment of fees
- Fraud, illegal activities, or suspected criminal conduct
- Excessive chargebacks or disputes
- Abuse of the Service or security violations
- Request by law enforcement or regulatory authorities
Upon termination by AlonChat, you forfeit any remaining subscription time, and no refunds will be provided.
8.3 Data Deletion
Upon account termination, your data will be deleted within 30 days, except where retention is required by law. You should export your data before termination.
9. Limitation of Liability
9.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED CONTENT.
AlonChat does not warrant that:
- The Service will be uninterrupted, error-free, or secure
- AI agents will generate accurate or appropriate responses
- Payment integrations will function without interruption
- Third-party services (AI providers, payment processors) will remain available
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALONCHAT SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from fraudulent transactions, chargebacks, or merchant disputes
- Damages caused by AI agent errors, inaccuracies, or inappropriate responses
- Damages resulting from third-party service failures (AI providers, payment processors, hosting providers)
- Damages arising from unauthorized access, security breaches, or data loss
IN NO EVENT SHALL ALONCHAT'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR PHP 5,000, WHICHEVER IS LESS.
9.3 Indemnification
You agree to indemnify, defend, and hold harmless AlonChat, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Products or services sold to your End-Customers
- Disputes, chargebacks, or fraud involving your business
- AI agent responses or actions taken by your AI agents
10. Dispute Resolution
10.1 Informal Resolution
If you have a dispute with AlonChat, please first contact our support team at support@alonchat.com to attempt an informal resolution. We will make good-faith efforts to resolve disputes amicably.
10.2 Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Philippine Arbitration Law (RA 9285) and the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
Arbitration shall take place in Manila, Philippines, and be conducted in English. The arbitrator's decision shall be final and binding.
10.3 Waiver of Class Actions
You agree that disputes shall be resolved on an individual basis only, and you waive any right to participate in class actions or class-wide arbitration.
10.4 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.
11. Miscellaneous Provisions
11.1 Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
11.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.3 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AlonChat regarding the Service and supersede all prior agreements.
11.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. AlonChat may assign these Terms to any successor or affiliate without restriction.
11.5 Force Majeure
AlonChat shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor strikes, government actions, or failures of third-party services (internet, hosting, AI providers, payment processors).
11.6 No Waiver
Failure by AlonChat to enforce any provision of these Terms shall not be construed as a waiver of such provision or the right to enforce it in the future.
